Once onboarding form has been reviewed, we will send a link for the initial payment and DD set-up. Your initial payment will be set for 5 days. DD payments will be taken on the same date each month, starting one month after your initial payment

This Terms of Service Agreement (the “Agreement”) sets forth the terms and conditions on which the Client (the “Client”) has engaged Socials Posted to complete any service (the “Services”) as outlined herein. This is a legally binding agreement between the Client and Socials Posted. In becoming a Socials Posted client, the Client agrees to be legally bound by the terms and conditions outlined in this agreement.

This agreement may be amended at Socials Posted sole discretion. An email communication sent to the Client’s last known email address will be deemed sufficient notice of any changes in this agreement.
The “effective date” of this agreement shall be when the Client pays their first order for services to Socials Posted.

1. Services:

As outlined on the Socials Posted website, Socials Posted will provide services to the Client (www.Socialsposted.co.uk).

2. Socials Posted Obligations:

2.1 Socials Posted will provide services to the Client in accordance with Socials Posted policies and procedures.
2.2 Socials Posted reserves the right to reject clients for any reason at their sole discretion.
2.3 Socials Posted will be responsible for all aspects of providing the services.
2.4 All Socials Posted rules, pricing, policies and operating procedures concerning privacy, pricing, customer service, and all other aspects of the services will apply.
2.5 Socials Posted may change its rules, pricing, policies and operating procedures at its sole discretion. Existing clients will be notified at least 30 days in advance of any changes made.

3. Fee and Payment:

3.1 All fees for services provided to the Client are due and payable in full on the due date within a recurring payment schedule. This includes monthly, or 6-monthly, in advance of the provision of the services.
3.2 All charges will be subject to UK law in terms of VAT once Socials Posted reaches the legal threshold.
3.2 A valid credit or debit card shall remain securely on file to cover recurring service charges and be shared with GoCardless, which is contracted to provide Socials Posted with payment collection and scheduling.
3.3 All charges for the services provided by Socials Posted will be paid in advance. If a card payment fails, Socials Posted will automatically notify the client and allow two further attempts at payment within the following 7 days. If payment still hasn’t been received, the related service provided by Socials Posted will stop immediately, unless an agreement has been reached.
3.4 Refund Policy: Except in the case of a material breach of this agreement by Socials Posted, Socials Posted does not issue refunds of any fees for any reason beyond the first 14 days of the Client’s effective date.
3.5 The 14-day money-back guarantee applies to the Client’s first order with Socials Posted. Refunds requested within the 14-day money-back guarantee period will only be processed once all social media posts created and published on the Client’s social media profiles have been deleted.
3.6 Cancellation Policy: The Client can cancel a subscription by emailing a cancellation request to [email protected] noting the reason for cancellation.
3.7 Socials Posted does not issue prorated refunds for cancellations once payment has been received but will complete the service if requested.
3.8 Returning clients: Should a client choose to return to the service within 12 months of cancelling, then the service agreed to will continue as an existing client. Should a client choose to return after 12 months or under a new business name, then this will be treated as a new client.

4. Service Provided:

4.1 The service provided by Socials Posted will begin once the initial payment has been received. At this point, Socials Posted will complete the first set of posts within 5 days.
4.2 Publishing Software: Socials Posted uses third-party social media publishing software to schedule and publish the Client’s social media posts. As such, Socials Posted has no control over any issues that may occasionally arise that are caused by third-party publishing software. In the case of an issue caused by third-party publishing software that affects the services provided by Socials Posted to the Client, the Client agrees to not hold Socials Posted liable.
4.3 Profile disconnections: It is the responsibility of the Client to ensure all social media profiles remain connected to ensure the service provided is maintained.
4.4 Socials Posted has no control over issues that may occur concerning profile disconnections.
4.5 If any of the Client’s social media profiles become disconnected from the scheduling portal, the Client will be notified via email to reconnect their chosen profiles. If the Client fails to reconnect their profiles to the scheduling portal, resulting in one or more unpublished posts, then it is the Client’s responsibility, and Socials Posted will not be held liable. Socials Posted will reschedule the posts as soon as the Client reconnects their chosen profiles to the scheduling portal.
4.6 Post preparation: Socials Posted aim to complete all post schedules in 14-day cycles or twice per month, except the service commencement posts, which will be completed in 5 days. This allows the content to be current and appropriate. Socials Posted reserves the right to reduce this once a month, which is industry standard practice.
4.7 Reviewing content: All posts created by Socials Posted are scheduled to be published automatically via the scheduling portal. Socials Posted will notify the Client by email at least 3 days before new posts are published, allowing enough time for the Client to access the scheduling portal and review the scheduled posts.
4.8 It is the Client’s responsibility to access the scheduling portal to submit feedback on scheduled posts or request any revisions of any posts before they are published. For this reason, Socials Posted will not be held liable for any posts published that are deemed unsatisfactory by the Client.
4.9 The Client is encouraged to regularly access the scheduling portal to review new content, provide feedback, and/or report any issues that may occur.
4.10 If the Client cannot access the scheduling portal for any reason, they must notify Socials Posted immediately.
4.11 Socials Posted reserves the right to share with the client any posts created in any format.
4.12 Socials Posted reserves the right to repurpose content.
4.13 Socials Posted will only use logos and testimonials provided by the client or posted on the client’s website.

5. White Label Resellers:

For the purposes of this clause, the following definitions apply:
Reseller: an individual or organisation using Socials Posted to provide white-labelled services for their own clients.

5.1 All terms and conditions within this agreement apply to any client of the Reseller unless within Section 5
5.2 Resellers must pay Socials Posted in advance of services for their clients. The Reseller is responsible for collecting payment from their clients.
5.3 It is the Reseller’s responsibility to notify Socials Posted at [email protected] as soon as possible regarding any client of the Reseller that chooses to cancel the service.
5.4 It is the Reseller’s responsibility to review the content produced by Socials Posted and to manage and maintain the relationship on behalf of the Reseller’s Client.
5.3 The 14-day money-back guarantee does not apply to Resellers.
5.4 After a White Label Order has been placed, Socials Posted will not directly or indirectly approach the Reseller’s client.
5.5. Socials Posted will not intentionally interfere with the relationship of the Reseller and their client(s) or communicate with the Client to promote the services of Socials Posted whilst they retain a service through the Reseller and Socials Posted.
The relationship between Socials Posted and the Reseller(s) shall remain private.
5.5 Unlimited revisions are at the discretion of Socials Posted and will only be considered when directly communicated via the Reseller.

6. Warranty Disclaimers:

Socials Posted expressly disclaims any warranties regarding or related to this agreement, the services, or any materials or assistance provided to the Client, express or implied, including without limitation, warranties or merchantability, course of performance or dealing, trade practice, title, non-infringement, and fitness for a particular purpose.

7. Indemnity:

The Client will indemnify and hold harmless Socials Posted and its customers, suppliers, directors, officers, agents, and employees from and against any losses, costs, damages, liabilities, and expenses (including, without limitation, reasonable solicitor fees) arising out of or relating to any breach by the Client of any of the terms of this agreement.

8. Limitation of Liability:

Socials Posted shall not be liable to the client or any entity or person claiming through or under the client for any loss of profit or income or other indirect, consequential, incidental, or special damages, whether in an action for contract or tort, in connection with this agreement, even if Socials Posted has been advised of the possibility of such damages. Under no circumstances shall Socials Posted liability to the client hereunder exceed the amount paid to Socials Posted by the client for the previous (1) month of services. This limit is cumulative, and the existence of more than one claim will not increase the limit.
